1. Acceptance of Terms

By accessing, connecting a wallet, or using Matrix.fun, you agree to be bound by these

Terms of Service (“Terms”). If you do not agree, you must not use the platform.

These Terms constitute a legally binding agreement between you and Matrix.fun GmbH,

the operator of Matrix.fun.

2. Eligibility

You represent and warrant that:

- You are at least 18 years old.

- You are not a resident or citizen of a prohibited jurisdiction (see Section 10).

- Your use of Matrix.fun complies with all local laws and regulations applicable in your

country of residence.

- You are not acting on behalf of any sanctioned individual or entity.

- You have the legal capacity to enter into these Terms.

3. Platform Overview

Matrix.fun is a non-custodial Web3 platform that facilitates skill-based tournaments.

Users participate in games by connecting a supported crypto wallet and may pay entry

fees and receive prizes in digital assets.

Matrix.fun does not offer gambling, lotteries, or chance-based games.

All tokens used are for platform access purposes only.

4. Non-Custodial Operation & Prize Claims

- Matrix.fun does not hold user funds or assets at any time.

- You are responsible for managing your wallet, gas fees.

- Matrix.fun is not liable for loss of access to wallets, third-party token issues, or the

actions or omissions of the users.

5. User Conduct & Fair Play

You’re solely responsible for all your activity and conduct on the platform, including any

and all content, representations, and actions. You agree to:

- Abide by Matrix.fun’s Fair Play Policy.

- Not engage in cheating, collusion, harassment, use of bots, or manipulation of results.

- Not impersonate other users or interfere with tournament operations.

- Not exploit platform bugs or loopholes.

Matrix.fun reserves the right to ban, suspend, or disqualify any user, at its sole discretion,

for violating this clause.

6. Hosting Responsibilities

If you host a tournament on Matrix.fun, you agree to:

- Follow all platform rules and guidelines.

- Not host tournaments targeting prohibited jurisdictions.

- Deliver prizes responsibly if done off-chain or manually.

- Accept that Matrix.fun may remove tournaments violating any rule, law, or policy.

You are solely responsible for all content, tokens, and prizes associated with tournaments

you host.

7. Token Use Disclaimer

- $MTX is not a security or financial product.

- It does not represent equity, profit rights, or guarantees of return.

- Token values may fluctuate significantly.

- Partner or community tokens used in tournaments are not endorsed by Matrix.fun unless

explicitly stated.

- You should do your own research (DYOR) and consult a professional advisor before

participating in any token-related activities.

8. Risk Disclosure

You acknowledge the following risks:

- Tokens used on the platform may be volatile and subject to regulatory restrictions.

- Smart contracts may fail, be exploited, or contain bugs.

- Use of Matrix.fun may involve technical risk, asset loss, or exposure to third-party

issues.

- The platform is in beta and features are subject to change.

You assume full responsibility for these risks.

9. Intellectual Property

All trademarks, designs, branding, game logic, and content on the platform are the

property of Matrix.fun GmbH. You may not copy, distribute, modify, or use any part of

the platform without prior written permission.

10. Prohibited Jurisdictions

You may not use Matrix.fun if you are a resident or citizen of any of the following

countries:

United States of America, China, North Korea, Iran, Myanmar, Syria, Libya, Sudan,

Somalia, Belarus, Russia (including Crimea, Sevastopol, and non-government-controlled

areas of Donetsk, Luhansk, Kherson, and Zaporizhzhia), Venezuela, and Yemen, as well

as any persons or entities designated on the sanctions lists maintained by the Swiss State

Secretariat for Economic Affairs (SECO) and the US Office of Foreign Assets Control

(OFAC).

Matrix.fun reserves the right to block, restrict, or disqualify users from token-related

events if they are suspected to reside in or access the platform from these jurisdictions.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

- Matrix.fun is provided “as is” without warranty of any kind.

- Matrix.fun GmbH and its directors, contractors, and affiliates shall not be liable,

whether arising from breach of contract, negligence, or any other cause of action, even if

we have been advised of the possibility of such damages, for:

- Losses of any kind (including digital assets)

- Game or platform downtime

- Token volatility

- Smart contract errors

- Inaccurate data or results

- Any failure or delay of the platform that is caused by a Force Majeure event. A

“Force Majeure Event” means any event or circumstance beyond the reasonable

control of the affected party, including but not limited to: acts of God, fire, flood,

earthquake, war, civil commotion, acts or terrorism, epidemic, pandemic, national

emergency, strike, lock-out, or other labor disturbances, or failure or interruption

of a third-party service.

You waive all claims against Matrix.fun GmbH arising from use of the platform.

The total cumulative liability of the platform for any claims arising out of or in

connection with these Terms or the services, whether in contract or tort or

otherwise, will not exceed the amount paid by you to the platform in the six (6)

months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Matrix.fun GmbH, its affiliates, and

personnel from any claims, damages, or liabilities arising from:

- Your breach of these Terms

- Your use of the platform

- Your participation in tournaments or token-related activities

- Your violation of any law or third-party rights.

13. Termination

13.1. Termination by the Platform: We may suspend or terminate your account and

access to our services if we determine, in our sole discretion, that you have breached

these Terms of Service. This includes, but is not limited to, violating platform rules,

engaging in illegal activity, or acting fraudulently. We will provide notice of termination

where appropriate, except in cases where your violation is severe or causes immediate

harm to the platform or other users.

13.2. Termination by the User: You may terminate your account at any time by

following the instructions on the platform or by contacting our support team. Your access

to the services will cease upon termination.

13.3. Effect of Termination: Upon the termination of your account, all rights and

licenses granted to you under these terms will immediately end. We are not liable to you

or any third party for any damages, losses, or costs resulting from the termination of your

account.

14. Modifications

Matrix.fun reserves the right to modify these Terms at any time. We will notify users of

material changes, and continued use constitutes acceptance.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of Switzerland. Any dispute shall be submitted to

the exclusive jurisdiction of the courts of Zug, Switzerland, unless otherwise required by

law.
