1. Introduction
Matrix.fun GmbH (“Matrix.fun”, “we”, “us”, “our”) provides an infrastructure platform
for skill-based tournament competition, where third-party token projects may sponsor or
host events using their own tokens. Matrix.fun also intends to issue a utility token,
$MTX, to power features such as tournament hosting, tournament boosting, ecosystem
staking, and platform benefits.
This document outlines important legal disclaimers and risk disclosures related to token
usage on the Matrix.fun platform.
2. No Investment Advice / No Securities
Matrix.fun does not provide investment, legal, or financial advice.
None of the content on Matrix.fun, including tournament rewards, token information,
airdrop structures, or ecosystem pages, should be interpreted as a solicitation,
recommendation, or promotion of any token or asset.
The $MTX token is designed to access certain functions of the platform (e.g. tournament
boosts, discounts, and governance). It does not represent equity, profit-sharing, or any
rights to revenue or dividends.
$MTX is not registered as a security in any jurisdiction, and is not intended for
speculative purposes.
There is no guarantee or commitment regarding future listing, exchange access, or token
liquidity. Any token distribution by Matrix.fun is limited to platform utility and reward
mechanisms.
3. No Guarantee of Value
$MTX and other tokens featured on Matrix.fun may have fluctuating market value, or no
value at all.
Matrix.fun does not guarantee any appreciation, stability, or liquidity of any token,
including those awarded in tournaments.
Matrix.fun does not operate an exchange or secondary market. All token-related
interactions are optional and at the user’s own discretion.
4. Third-Party Tokens
Matrix.fun may allow tournament hosts to sponsor events using their own tokens or
communities. These tokens are not issued, controlled, or audited by Matrix.fun.
Matrix.fun does not endorse, promote, have any control over, or validate the quality,
legality, or backing of any third-party tokens used in tournaments.
Users should conduct their own due diligence (DYOR) before engaging with any
token-based event.
Matrix.fun facilitates tournaments where users may join by paying a token-based entry
fee. These tokens may be given out by Matrix.fun to winners as prizes. Matrix.fun does
not operate a token exchange, provide cash-out services, or hold tokens in custody on
users’ behalf.
5. Geographic Restrictions
No Marix.fun services or $MTX tokens will be sold, distributed, or offered to users
located in or or connected with sanctioned countries and jurisdictions, including United
States of America, China, North Korea, Iran, Myanmar, Syria, Libya, Sudan, Somalia,
Belarus, Russia (including Crimea, Sevastopol, and non-government-controlled areas of
Donetsk, Luhansk, Kherson, and Zaporizhzhia), Venezuela, and Yemen, as well as any
persons or entities designated on the sanctions lists maintained by the Swiss State
Secretariat for Economic Affairs (SECO) and the US Office of Foreign Assets Control
(OFAC).
Matrix.fun reserves the right to block, restrict, or disqualify users from token-related
events if they are suspected to reside in or access the platform from these jurisdictions.
Matrix.fun will not intentionally airdrop, allocate, or permit any claim of $MTX to
wallets reasonably believed to be controlled by U.S. Persons. Technical and procedural
safeguards may be implemented to limit distribution to prohibited jurisdictions.
6. Airdrops & Promotional Rewards
Token rewards may be issued in the form of airdrops or promotional distributions. These
are discretionary and do not create any future entitlement.
Matrix.fun is not liable for delays, non-delivery, smart contract failures, or legal
eligibility conflicts that result in non-receipt of airdropped tokens.
Participating in airdrop-style tournaments does not imply ownership, investment, or any
contractual right in the token projects involved.
7. Wallet & Custody
Matrix.fun is a non-custodial platform. Users are solely responsible for the management
and security of their wallets.
Token transfers, prizes, and airdrops are delivered to externally connected wallets.
Matrix.fun cannot reverse or recover tokens sent to incorrect or compromised addresses.
It is the user's responsibility to verify their eligibility, wallet compatibility, and
compliance with local laws.
8. Smart Contract & System Risk
The Matrix.fun platform and any integrated third-party tokens rely on smart contracts and
blockchain infrastructure. These systems may contain bugs, vulnerabilities, or experience
outages.
Matrix.fun does not accept liability for lost tokens, staking errors, or claim issues caused
by smart contract failures or system malfunctions.
Users participate at their own risk and should understand the experimental nature of
blockchain systems.
9. Tax & Legal Responsibility
Users are solely responsible for reporting and paying any applicable taxes on token
prizes, staking rewards, or airdrop receipts under their local laws.
Matrix.fun does not provide tax guidance and does not serve as a tax intermediary.
10. Acceptance of Risk
By interacting with tokens on Matrix.fun, including $MTX or third-party tokens used in
tournaments, you acknowledge and accept that:
● Token prices are volatile
● Regulatory treatment may change
● Matrix.fun offers no guarantees on value, delivery, or legality of token usage
● You are participating voluntarily, at your own risk
By participating in any token-based tournament or claiming token rewards, users confirm
they are eligible under their local laws and that they are not located in or subject to the
laws of prohibited jurisdictions.
11. Changes & Final Provisions
Matrix.fun reserves the right to update this Disclaimer at any time. Continued use of the
platform constitutes acceptance of the latest version.
Any future staking or boosting mechanics related to $MTX shall be based on platform
activities, aimed at platform engagement or tournament visibility. No passive income,
fixed yield, or guaranteed return is provided.
